Lisa Specht represents business clients through all stages of development. In particular, she represents business clients regarding choice of entity issues and in complex corporate and tax law matters. She has experience in a wide array of strategic transactions, including formation, management and governance structuring, equity and asset sales and purchases, mergers and acquisitions, reorganizations, strategic investments, joint ventures, employee equity acquisitions, and tax planning, audits, protests, and ruling requests. Clients include partnerships and LLCs, privately owned companies, start-ups, entrepreneurs, shareholders, and investors. Lisa advises clients across a range of dynamic and emerging sectors, including real estate investment, insurance, food and beverage, travel, cannabis, and technology.
A creative problem solver with an operational mindset, Lisa has extensive experience in all aspects of mergers and acquisitions and state and federal tax law. She advises clients on tax-efficient formation and structuring, corporate and partnership issues, financing arrangements, acquisitions and dispositions, employee incentive arrangements, and executive compensation. Additionally, she has managed federal and state tax controversy matters at both the administrative and trial court levels, and assisted clients in obtaining private letter rulings from the Internal Revenue Service and technical assistance advisements from the Florida Department of Revenue.
Prior to joining the firm, Lisa served as a member of the federal income tax group of a leading national corporate and litigation law firm. Previously, she worked as a financial consultant in India and as a software tester with Microsoft. She frequently teams with GrayRobinson colleagues in the securities, technology transactions, venture capital, health care and real estate practices to provide comprehensive legal and tax advisory counsel to corporate clients.
